Terms of Service
The agreement that governs your use of Clientlly. Last updated June 6, 2026.
1. Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you and CLIENTLLY SH.P.K. ("Clientlly", "we", "us") governing your access to and use of the Clientlly platform, websites, mobile apps, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. The service
Clientlly provides a business management platform for invoicing, client management, expenses, time tracking, HR, inventory, document storage, and related operations. We may update, improve, or modify features over time. We will not materially reduce core functionality of a paid plan during your active subscription term without notice.
3. Accounts and eligibility
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 16 years old and capable of forming a binding contract to use the Service. Notify us promptly of any unauthorized use.
4. Acceptable use
You agree not to misuse the Service. You will not violate any law or third-party right; upload malicious code or attempt to disrupt or gain unauthorized access to the Service; reverse engineer or resell the Service except as permitted; use the Service to store or transmit content that is unlawful, infringing, or harmful; or exceed rate limits or otherwise abuse system resources.
5. Your content and data
You retain all rights to the data and content you submit to the Service ("Your Content"). You grant Clientlly a limited license to host, process, and display Your Content solely to provide and maintain the Service. You are responsible for the accuracy and legality of Your Content and for having the necessary rights to submit it.
6. Third-party integrations
The Service may let you connect third-party services such as Google Drive, Microsoft OneDrive, and payment providers. Your use of those services is governed by their own terms and privacy policies. We access third-party data only as you authorize and as described in our Privacy Policy. You can disconnect an integration at any time.
7. Plans, billing, and trials
Paid plans are billed in advance on a recurring basis according to the plan you select. Trials, if offered, convert to paid plans unless cancelled before the trial ends. Refund eligibility is described in our Refund & Cancellation Policy; that policy does not limit rights required by law. We may change pricing with reasonable advance notice effective at your next billing cycle. Taxes may apply.
8. Cancellation and termination
You may cancel your subscription at any time; access continues until the end of the current paid period. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. Upon termination, you may request export of Your Content for a limited period, after which we may delete it subject to legal retention requirements.
9. Intellectual property
The Service, including its software, design, and trademarks, is owned by Clientlly and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Clientlly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Clientlly harmless from claims, damages, and expenses arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.
13. Changes to these terms
We may update these Terms from time to time. We will update the Last updated date and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.
14. Governing law and contact
